
Buyer Confidentiality/Registration Agreement
THIS CONFIDENTIALITY AND BUYER REPRESENTATION AGREEMENT (“Agreement”) is made and agreed to by Tiktin Real Estate Investment Services (“Broker”) and (“Purchaser”) regarding the property known as North Miami Beach Financial Center – North Miami Beach, FL. The obligation of confidentiality undertaken pursuant to this Agreement shall survive the terms of the Broker’s agreement with the Owner.
PURCHASER HAS REQUESTED information from Broker for the purpose of evaluating a possible acquisition of the Property. The Owner of the property has instructed Broker to deliver information concerning the Property, much of which is highly confidential, only to those potential purchasers who sign this Agreement.
THE PARTIES AGREE, in consideration of the covenants and agreements contained herein, as follows:
- Purchaser will not disclose, permit the disclosure of, release, disseminate or transfer; any information obtained hereunder (“Information”) to any other person or entity.
- If Purchaser is a corporation, partnership, limited liability company or other non-natural legal entity, the person(s) signing this Agreement on its behalf will take all appropriate precautions to limit the dissemination of the Information only to those persons within the entity who have need to know of the information, and who are specifically aware of the Agreement and agree to honor it.
- This Agreement applies to all Information received from Broker, now or in the future, which is not readily available to the general public. Purchaser understands that all information shall be deemed confidential, valuable and proprietary such that its unauthorized disclosure, even without intent to harm, could cause substantial and irreparable harm to Owner and Broker.
- All information shall be used for the sole purpose of evaluating the potential acquisition of the Property, and it shall not at any time, or in any manner, be used for any other purpose.
- Purchaser shall not contact directly any persons concerning the Property, other than Broker, without Broker or Owner’s written permission. Such persons include, without limitation, Owner’s employees, suppliers, etc.
- Purchaser acknowledges that it is a principal and not an agent on behalf of any other party in conjunction with the purchase of the Property (except Advisors working on behalf of their pension fund clients). Purchaser acknowledges that it is not working with any other broker or agent other than the Broker named below in connection with the property.
- Neither Broker nor Owner makes any representations or warranty, express or implied, as to the accuracy or completeness of any information provided by them. Purchaser assumes full and complete responsibility for reconfirmation and verification of all Information received and expressly waives all rights of recourse against Owner and Broker with respect to the same.
- The Person(s) signing on behalf of Purchaser represent that they have the authority to bind the party for whom they sign.
- This Agreement shall be governed and construed in accordance with the laws of the State of Florida.
- No outside broker represents Purchaser. Purchaser is working with Tiktin Real Estate Investment Services, specifically Adam J. Tiktin and Steven Logan. If Purchaser and/or an entity to which Purchaser is a part is successful in acquiring the above-referenced property within twelve (12) months from the date below, it is hereby acknowledged that Tiktin Real Estate Investment Services is the procuring cause. Purchaser and/or entity also acknowledges that it is acting as a PRINCIPAL ONLY and as such is not entitled to any commission.
Brokers Confidentiality/Registration Agreement
THIS CONFIDENTIALITY AGREEMENT (“Agreement”) is made and agreed to by (“Cooperating Broker”) and Tiktin Real Estate Investment Services (“Exclusive Listing Broker”) regarding the property known as North Miami Beach Financial Center – North Miami Beach, FL (“Property”). This obligation of confidentiality undertaken pursuant to this Agreement shall survive any future agreement with the Owner.
COOPERATING BROKER HAS REQUESTED information from Owner for the purpose of evaluating the Property. The Owner shall deliver information concerning the Property, much of which is highly confidential, only to those parties that Owner’s Exclusive Agent, Tiktin Real Estate Investment Services, has agreed to in writing prior to the disbursement of any information.
THE PARTIES AGREE, in consideration of the covenants and agreements contained herein, as follows:
- Cooperating Broker will not disclose, permit the disclosure of, release, disseminate or transfer, any information obtained hereunder (“Marketing Information”) to any person or entity that has not been approved and agreed to in writing by Tiktin Real Estate Investment Services.
- The person(s) signing this Agreement on Cooperating Broker’s behalf will take all appropriate precautions to limit the dissemination of the Marketing Information only to those persons who have need to know of the marketing information, and who are specifically aware of the Agreement and agree to honor it.
- This Agreement applies to all Marketing Information received from Owner, now or in the future, which is not readily available to the general public. Cooperating Broker understands that all marketing information shall be deemed confidential, valuable and proprietary such that its unauthorized disclosure, even without intent to harm, could cause substantial and irreparable harm to Owner.
- All information shall be used for the sole purpose of evaluating the Property and it shall not at any time, or in any manner, be used for any other purpose.
- Cooperating Broker or any other party shall not contact directly any persons concerning the Property, other than Tiktin Real Estate Investment Services, without written permission from Exclusive Listing Broker. Such persons include, without limitation, Owner’s employees, suppliers, lenders and tenants.
- Owner makes no representations or warranties, express or implied, as to the accuracy or completeness of any marketing information provided by them. Cooperating Broker assumes full and complete responsibility for reconfirmation and verification of all Marketing Information received and expressly waives all rights of recourse against Owner and Exclusive Listing Broker with respect to the same.
- The person(s) signing on behalf of Cooperating Broker represents that they have the authority to bind the party for whom they sign.
- This Agreement shall be governed and construed in accordance with the laws of the State of Florida.
- Cooperating Broker recognizes that they do not represent the Owner in this transaction. Tiktin Real Estate Investment Services only, who are acting as a Seller’s Broker only, represent the Owner.
- In the event Cooperating Broker successfully closes on the Property and Owner pays Tiktin Real Estate Investment Services the brokerage commission as stated in the Listing Agreement with Owner, Tiktin Real Estate Investment Services shall pay a Cooperating Broker Fee in the amount of % .
- All Buyers that the Cooperating Broker wishes to register must be registered and approved by Exclusive Listing Broker prior to submission of the Marketing Information. In the event Cooperating Broker fails to register any buyer, he/she shall not be entitled to any Cooperating Broker Fee.
